Item 7.01 REGULATION FD DISCLOSURE

On May 17, 2016, E*TRADE Financial Corporation (the “Company”) is presenting at the Barclays Americas Select Franchise Conference. A copy of the Company’s updated presentation is available on its corporate website, about.etrade.com .

The Company will discuss that, in the second quarter through May 12, 2016, it has repurchased 4.1 million shares of common stock at an average price of $25.31, excluding commission costs, pursuant to its previously announced share repurchase program. This brings the total amount of share repurchases under the program to $454 million.

Based on guidance from the SEC, the Company may also use the Investor Relations section of its corporate website, about.etrade.com , to communicate with investors about the Company.
