Explanatory Note
Dollar Tree, Inc. (the “Company”) is filing this Amendment No. 2 on Form 8-K/A to amend its Current Report on Form 8-K, originally filed with the Securities and Exchange Commission (the “SEC”) on May 5, 2016 (the “Original Filing”), as amended on Form 8-K/A, filed with the SEC on June 2, 2016 (the “Amended Filing”). The Company is filing this amendment to further amend certain information included in its pro forma financial information that was filed as Exhibit 99.6 to the Original Filing and Exhibit 99.1 to the Amended Filing (the “Pro Forma Financial Information”). In particular, the Company is amending the Pro Forma Financial information to reflect, among other things, the inclusion of certain depreciation expenses. Except as indicated herein, no other information included in the Original Filing or the Amended Filing is amended by this Amendment No. 2 on Form 8-K/A.
