Explanatory Note
 
Majesco Entertainment Company, a Delaware corporation, is filing this amendment to the Current Report on Form 8-K filed on December 18, 2014 (the “Original 8-K”), as amended by the Form 8-K/A on February 13, 2015 (the “First Amendment”) and the Form 8-K/A on September 21, 2015 (the “Second Amendment”) , to include the exhibits to the Subscription Agreement filed as Exhibit 10.1 to the Original 8-K, the First Amendment and the Second Amendment.  No other changes have been made to the Original 8-K, as amended by the First Amendment and the Second Amendment.
