Comfort Letter definition :
A letter from an accounting firm to a company that is preparing a prospectus, stating that their financial statements seems to be in accordance with GAAP to the best of the accountants' knowledge. This statement is made after the accountant has reviewed the company's information, without undergoing a full audit.
