Director/PDMR Shareholdings

This notification is made in accordance with DTR 3.1.4(1).

On 17 April 2015 in fulfilment of the share element of the 2014 bonus, as disclosed in the 2014 annual report, the following share awards over ordinary shares of 25p each in the Company were granted under the Clarkson PLC 2014 Long Term Incentive Plan (the "Plan") to Executive Directors of the Company. No consideration was paid for the grant of the awards.

The vesting of the share awards is subject to continued employment and they will normally vest on 17 April 2019.

The performance awards will normally vest on 16 April 2018, subject to the Executives' continued employment and the satisfaction of performance conditions set by the Remuneration Committee. To the extent that the performance awards structured as nil cost options vest, they will be exercisable until 16 April 2025. No consideration was paid for the grant of the performance awards.
