(GXP)X(ILA)---Great Plains Energy and Aquila File Acquisition Approval Applications in Missouri and Kansas

Great Plains Energy Incorporated (NYSE: GXP), its public utility subsidiary Kansas City Power & Light Company (KCP&L) and Aquila, Inc. (NYSE: ILA) today filed applications with the Missouri Public Service Commission and the Kansas Corporation Commission seeking approval of the proposed acquisition by Great Plains Energy of Aquila. The parties announced the proposed merger of Aquila and a subsidiary of Great Plains Energy, with Aquila surviving the merger and becoming a wholly owned subsidiary of Great Plains Energy, on February 7, 2007.

In the applications, the companies stated the transaction will provide benefits for customers, communities and investors. In particular, Great Plains Energy anticipates that the transaction will result in significant synergies, economies of scale and efficiencies, which are currently estimated to be approximately $500 million over the five-year period of 2008-2012, with costs to achieve (including transaction costs) of approximately $181 million.

In Missouri, the companies have requested that Aquila be authorized to use an additional amortization mechanism to maintain credit ratios once Aquila achieves financial metrics necessary to support an investment-grade credit rating. This mechanism is similar to the one used in KCP&L’s last rate case. Aquila and KCP&L also requested authorization to amortize transaction and incremental transition-related costs over five years, and to collectively retain for a five-year period 50 percent of any synergy savings resulting from the transaction. The companies are not seeking to recover any acquisition premium. In Kansas, the companies requested similar regulatory treatment of costs and synergies only for KCP&L; no regulatory treatment was requested for Aquila, as it will be selling its non-Missouri utility operations to

 Aquila loss narrows in third quarter

NEW YORK, Nov 3 (Reuters) - U.S. Midwest utility Aquila Inc. (ILA.N:) on Thursday posted a narrower loss in the third quarter, but fell short of estimates as its remaining obligations from former merchant businesses offset the benefits of rising power and gas sales.

Kansas City-based Aquila said it had a net loss of $75.7 million, or 20 cents a share, compared with a loss of $116.4 million, or 44 cents, in the year-earlier quarter.

Three analysts surveyed by Reuters Estimates were expecting a loss of 7 cents per share.

Earnings come out on Monday. Indications leading towards a good report. Up 7% Friday, could continue Monday if earnings look good.

sold mine for a double. as it turns out i could have gotten a little more, lol. the dividend is toast, no doubt about it, they were paying for it by issuing stock before - classic ponzi - i have no idea what they think they'll do now.

my guess is they're toast. supposedly they have traditional energy production somewhere, but i'm not interested enough to find it. stock is acting like the company has some Enron-style share-price triggers hiding behind door #1.

Still got puts?

No idea yet why they tanked nearly 50% today to close at $2.65, but the fact that their dividend now works out to about 26% worries me more than encourages me. Surely that dividend isn't safe. MCIT had a similarly-ridiculous dividend.

They're apparently going to shut down their energy trading business. What's that leave them with? Broadband in small towns and appliance repair???

Whaddya think, WLD? Trading opp? Short it and forget it?

this thing is going to zero. next week i'm buying puts, not sure which yet. a little late to the party, but this pig didn't fit on my plate until this evening.

After trading as low as about $14.26 yesterday they closed at $16.04, giving an effective dividend yield of 7.5%. At $14.26, their dividend yield was closer to 8.5%

I'm going to go ahead and start trading this one, initially on the long side. They haven't cut the dividend (yet) and while I fully expect that they will, they've given no indication yet that they will. Quite the contrary. They're insisting the dividend will remain intact.

Their last quarter was hurt in part due to a comparatively mild winter, so perhaps a comparatively warm summer will help.
