Life Partners Holdings, Inc. (Nasdaq GS: LPHI) announced today that on January 20, 2014, the Company received a letter from the staff of NASDAQ advising that, because the Company filed for protection under Chapter 11 of the U.S. Bankruptcy Code, the Company's securities will be delisted from the NASDAQ Stock Market pursuant to the discretionary authority of NASDAQ under Listing Rules 5101 and 5110(b) and IM-5101-1. The letter further provided that the Company may request a hearing to appeal the Staff's determination and that such hearing request will stay the suspension of Company's securities pending a decision on the appeal. In addition, quotation information for the Company's common stock will include an indicator of the Company's non-compliance, and the Company will continue to be included in a list of non-compliant companies on the NASDAQ website.

Unless the Company requests an appeal of this determination, trading of the Company's common stock will be suspended at the opening of business on January 29, 2015. The Company intends to request a hearing to appeal the delisting determination and address the concerns of NASDAQ arising out of the Company's filing for Chapter 11 protection. No assurance can be given that the appeal will be successful. If the appeal is not successful, the Company's securities may be immediately eligible to be quoted on the OTC Bulletin Board (the "OTCBB") or the Pink Sheets if a market maker makes application to register in and quote such securities in accordance with SEC Rule 15c2-11 (a "Form 211") and the application is cleared. Only a market maker, not the Company, may file a Form 211.

LPHI, filed Bankruptcy and SEC charging:

The SEC sued the company and its managers. A federal judge in Austin in early December entered a judgment against the company for $15 million in disgorgement and $23.7 million as a civil penalty.

SEC filed motion for receivership and a monitor in Federal Court on Jan 5th, yesterday. Used quotes of Pardo to journalists as well as excerpts from his book "Junk Yard Dog".
This is it, no more, it ends, they have finally been crushed. This will go down as a multi-billion dollar fraud and a big hole in some people's retirement accounts.
Technical trading doesn't capture this underlying toxic dealings does it?

Why the long face? This implosion was a decade in the making and you were subjected to every game in the book.
They had no exit plan apart from miraculously selling themselves to Wall Street, unfortunately LPHI had no IP and their processes were dysfunctional.
Do they make it to year's end? Declare one more dividend to empty the cupboard?
That dividend yield is headed for 100% nice job.

Exciting the SEC or should I say using the SEC to distress the share price, all the real while those someone(s) were shorting. I could go along with that, but I really do not know. My opinion is rather numb and nimble.

Life Partners Holdings, Inc. (Nasdaq GS: LPHI) announced today that it has filed suit against optionsXpress, Inc., a subsidiary of The Charles Schwab Corporation (NYSE: SCHW), the company’s Chief Financial Officer, and one of the company’s largest customers for issuing and selling counterfeit shares of Life Partners Holdings stock.

The lawsuit, filed in Illinois by California attorney Gary Aguirre, whose practice focuses on market manipulation, asks the Court for an order preventing the Schwab subsidiary from creating and selling shares of Life Partners Holdings’ stock which were not authorized by the company. The action also asks the Court for protection from securities fraud, deceptive business practices and civil conspiracy arising from the unlawful issuance of the counterfeit shares.

Under the law of Illinois, Texas, and every other state, a company has the exclusive right to issue and sell its own stock. The creation and sale of counterfeit or “phantom” stock by brokers and their customers violates these laws.

The lawsuit is based on findings in an administrative proceeding by the U.S. Securities and Exchange Commission against optionsXpress and the other defendants which concluded that optionsXpress, its chief financial officer, and one of its biggest customers committed securities fraud by engaging in the sales of hundreds of millions of dollars in counterfeit-phantom stock passed off as the genuine stock of 25 public companies, including almost $5.5 million of counterfeit-phantom stock of Life Partners Holdings, Inc.

Life Partners Holdings CEO Brian Pardo commented, “This case isn’t about money. It’s about confidence in the market. It’s about making sure that, in the future, shareholders can be sure that they are purchasing legitimate, authorized stock. Individual investors need to know that the stock they are buying is real and not phantom stock cooked up by Wall Street insiders. Without a stock certificate, we’ve seen how easy it is for Wall Street to pass off counterfeit stock in your account as legitimate and we want to put a stop to it.”

The company is continuing to investigate other persons and entities who may have engaged in counterfeiting shares of Life Partners Holdings, Inc.

"The SEC suit is scheduled for jury trial beginning January 27, 2014. The SEC is asking the court to enjoin us, Brian Pardo, Scott Peden and David Martin from future violations of the Federal securities laws, to order the disgorgement of any ill-gotten gains, to pay civil penalties, to prohibit the individual defendants from acting as an officer or director of any publicly held company, and ordering Pardo and Martin to reimburse us for compensation bonuses based on the allegedly misstated financial statements. If the jury were to find against us or the individual defendants and the court were to order some or all of the relief sought, the court’s order would have a materially adverse effect on our ability to operate, especially if Pardo, Peden or both were ordered to resign as officers and directors. Even if Pardo and Peden were allowed to remain and any disgorgement or civil penalties were not substantial, a jury’s finding of violations would damage our goodwill, which is important to our success.

It is possible that the jury could find in our favor and determine that no violations occurred, yet if the court’s preliminary ruling that our life settlement transactions are sales of securities stands, the ruling would be disruptive and would require significant changes to our business model. The changes would likely include a switch from the sale of fractional interests in life insurance policies to the sale of interests in special purpose entities that hold the policies, an expansion in the scope of transaction disclosures and in the means of delivering the disclosures, the use of a FINRA-registered broker/dealer to supervise the private placement of the settlement interests, and the registration of our licensees as agents of the broker/dealer. ) sank Tuesday to a fresh 52-week low, after the specialty financial-services company and parent company of Life Partners Inc. maintained its quarterly dividend rate at $0.05 per share, disappointing investors who had been hoping for an increase in the payment.

The latest dividend is to be paid on or about Jan. 3 to shareholders of record as of Dec. 30. While the per-share rate is the same as in the prior two quarters, it is half of what the company had paid in March and each of the quarters of 2012. Investors appeared to have hoped the rate would come back up in 2014.

Shares were down 7.2% at $1.55 recently near midday Tuesday, after hitting a new 52-week low of $1.52, its lowest level since September 2012.

What's to say? Today was a good example, of what's to come....

I've been gambling on them winning in their dispute with the SEC.
Charges filed years ago...
I think jury selection begins in January.

I'll check the docket again in January to see what's happening.

I'm betting they'll prevail;
but so far I'm down.
(I guess I should have sold while I was UP...but hindsight's 20/20, and I don't claim to own a crystal ball!)

I knew this was a gamble going in...
Win big
or lose what I put in...

I can deal with that.

Still collecting a nice divvy...even if it's less now.

They've come through a lot of other legal BS...
I hope they can put the SEC mess to rest this year too.

Another lawsuit out of the way...

What's most important though (in my opinion)
is this:
A key allegation was that Life Partners’ medical consultant used an unreasonable method of estimating life expectancies. However, this allegation was criticized by the Court as part of its 34 page order denying certification as a class action:

“Proof only of results does not address these factors. Nor could an after-the-fact analysis of the insureds’ deaths, in the aggregate, establish that LPI was unreasonable in using Dr. Cassidy when and how it did. … The Court is highly skeptical that an analysis of results alone could lead a reasonable juror to determine that Dr. Cassidy’s methods were flawed.”


These are the same claims the SEC is pursuing...
let's hope they fail too.

10Q is atrocious. Looks like they are coming to grips with their certain demise. read the narrative on how much cash and working capital they have. If there is no favorable outcome with the SEC in Jan, they are done, cash all gone. They are running low on cash, but Pardo charges the co over 400k for use of the plane he bpught with the dividends and stock sales. That special Pardo touch, nice!

10Q not looking too good.
Major loss on operations and it looks like they have little to no assets to sell now. Margins have dropped by a huge amount and they all got pay raises. Makes you wonder when the other shoe drops.
The dividend is becoming a double edged sword. They seem to spend so much time managing the stock price, and neglecting the company's business revenues. When does it all end?

Law360, Dallas (July 09, 2013, 8:28 PM ET) -- Texas is appealing a state court's ruling that life settlement policies sold by Life Partners Inc. don't qualify as securities, saying in an opening brief that the ruling was based on a federal doctrine that has since been widely criticized and should not apply.

WACO, Texas--(BUSINESS WIRE)--

Brian Pardo, CEO of Life Partners Holdings, Inc. (“Life Partners”) (Nasdaq GS: LPHI), parent company of Life Partners, Inc., announced today that an independent investigation has uncovered substantial evidence of coordinated market manipulation and naked short selling of Life Partners’s stock in and around September 26, 2012. As a result of this investigation, he has filed a whistleblower complaint with the U.S. Securities and Exchange Commission against a number of persons and entities suspected of illegal short-selling activities. Pardo has filed the complaint on Life Partners’ behalf since SEC regulations require that only individual, natural persons can file such complaints.

The investigation was conducted by former SEC Senior Counsel and noted whistleblower, Gary Aguirre. Mr. Aguirre, who has testified before the Senate regarding how politically influential individuals and Wall Street firms taint the SEC’s enforcement decisions, has been an outspoken critic against abusive short selling and the lack of SEC enforcement against this illegal activity.

Naked short selling is the practice of short selling a company’s stock without first borrowing the security as required in a legitimate short sale. Because shares are not borrowed, naked short selling is similar to counterfeiting as it can make a company appear to have many more stockholders selling shares than are actually being sold. In 2008, the SEC banned “abusive naked short selling” as a method of driving down share prices. This abusive tactic is used, often in conjunction with the dissemination of negative rumors, to drive down a company’s stock price for the profit of the short sellers. It can also result in massive job losses, substantial financial losses to legitimate shareholders and ultimately the destruction of companies.

In his complaint, Pardo describes Life Partners as a microcap stock with 18.4 million issued shares. Pardo holds more of than half of these shares, which are unavailable for trading. Accordingly, Life Partners has less than 9.2 million shares available for trading and usually less than one million shares are available for borrowing. In the 12-month period before September 2012, Life Partners’s stock had an average daily trading volume of 112,000 shares.

The complaint demonstrates that market participants, identifiable through blue sheets, manipulated the price of Life Partners’ stock on September 26 and 27, 2012, through massive naked short selling in violation of the SEC’s Regulation SHO. A public announcement of highly favorable news after the market close on September 25, 2012 – Life Partners success in a legal action - generated strong upward pressure on the stock price when the market opened on September 26. Over the next two days, approximately 15.2 million shares traded. The upside pressure was resisted by aggressive short selling at the bid from the market’s opening on September 26 and continued unabated until a price reversal on September 27. Over these two days, at least 2.16 million shares were shorted at the bid, a type of trade that fits within no exception to the legal borrow requirements. Altogether, a staggering 6.96 million shares were sold short over the two days. At the time, there were at most 1 million shares available for borrowing and perhaps none. Major violations of Reg SHO were a virtual certainty.

The complaint further demonstrates other violations, such as the requirement that short sellers must deliver by the settlement date. If 6.96 million shares were properly borrowed, they would have resulted in an increase of shares on loan. But by October 3, 2012, the day after the settlement date for the trades on September 27, the shares on loan had only increased by 27,600 shares. If the shorts were not covered by the settlement date, they were naked and in violation of Reg SHO.

Under the whistleblower provisions of the Dodd-Frank law, a reward may be issued if the SEC is successful in collecting fines against the violators. Mr. Pardo has assigned any such reward to the Life Partners Holdings, Inc. and no officers or directors would receive any part of such an award.

Life Partners Holdings CEO Brian Pardo commented, “It is a tragedy to realize that there are well-known financial entities that intentionally try to destroy companies with these abusive tactics, without any regard for the lives of the workers and the investors they ruin. The original purpose of our financial markets was to bring capital to companies so they could grow and, in turn, contribute to the growth of our whole economy. It is long over due! I do not pretend to defend. I do not believe it has been Pardo sitting on message boards bashing the company he works for.

This is one of very few offensive actions by Pardo and company verses the never ending list of law firms and others making noise.

The playing field is really lopsided.

Like I said before. I am not hanging out pretending to defend Pardo and company.
