Will take a look. Have been buying BBB and they should be handing some cash to shareholders by around end Nov. Some capable investors on board. Decent price around £1.

So we can expect news, good or bad, by end 11th June.
Just to re-iterate, if Pollen want PHD, and DBAY don't support and participate, what happens?
Pollen move to offer.

If DBAY want PHD they have to offer 10% over 75p to break the irrevocables, Pollen may walk hence Pollen stick to talking if they have a firm line in the sand on price to be paid.

What is there between these outcomes if Pollen/DBAY want PHD?

If Pollen walk they can't come back for a while, price falls. DBAY can pick up more stock cheaply to 30% (about another 5%) but no more without making an offer that must be at least their most recent highest price paid (for a while at least).

This could all collapse but DBAY would hurt too as price would fall. Pollen could walk with some money now spent but move on intact. PHD would carry on but probably having to make changes - possibly substantial and impacting future value - short term not good.

DYOR - Its a gamble but the CAGR on a buy now could be the 4p upside (71p buy price) in < 3 months. 4x 4/71 = 22%. If DBAY come in with 10% more its about >50% CAGR on a 71p buy price.

"The extension has been agreed to facilitate ongoing discussions between Bidco and DBay Advisors Limited ("DBay") regarding DBay's support for, and participation in, the Acquisition at an offer price of 75 pence in cash for each Proactis Share."

If this was 100% guaranteed to go through and the share price is 6/7% the offer price of 75p this is literally the only example I've ever seen of a complete total cast iron return of 6% for no risk

DBAY delay/block the offer...Pollen eventually walk away...Sykes and the old men of Yorkshire carry on the failing catastrophically as per the previous 5 years. Share price drops DBAY hover shares up cheap bringing their average down. Eventually make their own low ball offer which will very likely be accepted because all holders will just want out of the misery.

Perhaps someone wonders if there is more to PHD that the balance sheet suggests.
About time this was put to bed and if anyone else interested they put up or shut-up.

From the RNS is reads that PHD have done exactly the right thing.

It looks a convenient exit for him from public market scrutiny.

Getting to the 150p Paul Hill has repeatedly touted would take a while so big holders may just think they could double from 75p elsewhere, at less risk, so sell PHD now and move on.

Alternative is wait a fair while longer with risks of upset along the way.

Lots benefit from this sale as majority of holders probably have an average below this price.
I guess few are married to PHD now after the debacle of the past 2 years so a quicky divorce for cash sorts it out.

If DBAY have someone buying stock on their behalf and then later transferring to DBAY, possibly at a loss, the question is why?

One reasob can be that DBAY can only make an offer for the company at a price above the highest they paid within 3 months prior to the offer. If they paid no more than 42-43p they could use that as the base.

Could it also give them some control as small transches can be bought higher, held, and later transferred at volume as price walks down so helping put a lid on the price the market sees vs volume? Small volumes over time at higher price, large volumes at lower price?

I don't think this is necessarily good for smaller shareholders unless you have a low average price.

See the Telit release with 206p as the last price prior to the offer and chance to take cash or non-voting preference shares for smaller holderts. It looks like a possible blue-print for PHD going forward imho.

Some troubling signs that China wider market could be rolling over and that will wash up on US and UK shores. IF that does happen there will be some screaming bargains available. Notice big IF but probability, imho, is just above 50% right now. Decline to bottom could take 6 months or so.

Makes no difference if a share is China dependent, money flows will limit upsides and possibly lead to sell-offs as capital seeks safe havens.

All imho, dyor.

We need audited April results to confrm PHD is heading in right direction well else its a sitting duck to be taken out at low share price imho.

Keep an eye on any sales into share price strength as we approach end of tax year. Some waiting for a slightly higher price could be tempted to tidy-up.

Not sure on that Billy. DBAY have consistently bought on the bid price. Millions bought at 35p when the share price was 36/37p. Evidenced by RNS notifications. This is now above the bid. It looks like they’re buying more as the share price hasn’t moved. Don’t know how they do it but quite frustrating to the rest of us.
