( 1)  The exercise price is priced in Australian dollars. This is the U.S. dollar equivalent of the price of A$0.007 using the rate of exchange published by the Reserve Bank of Australia for November 18, 2016 (A$1.00=US$0.7394).
( 2)  The options will fully vest on November 17, 2017 (the one-year anniversary of shareholder approval of the plan pursuant to which the options were granted) so long as the reporting person remains a director of SSN on such date.
