(b) Effective as of March 25, 2015, after 15 years of service as a member of the Board of Directors (the "Board") of Ladenburg Thalmann Financial Services Inc. (the "Company") and predecessor companies, Richard J. Rosenstock retired as a member of the Board. Mr. Rosenstock's resignation from the Board was not a result of any disagreement with the Company or its executive officers on any matter relating to the Company’s operations, policies or practices.
